The Rails Are Licensed. The Market Is Arriving.

SecureTech now holds perpetual, exclusive rights to a live blockchain with a post-quantum roadmap, and has placed it inside a joint venture it controls. It did so in the same year U.S. regulators opened the door to tokenized securities and Washington put a date on the post-quantum transition. This report looks at the market QSTAK Market is entering and what the structure delivers to SCTH shareholders.

—  Why This Transaction Matters

  • Piranha Blockchain is now an operating business. On October 22, 2026, SecureTech closed a perpetual, exclusive, worldwide license to the QSTAK and QSTAKCHAIN technologies for all lawful fields of use, formed the QSTAK Market joint venture that it owns 57% of and controls, and bought a net 15% of QSTAK Holding itself. The company anticipates initial consolidated revenue from QSTAK Market this quarter.1
  • The market it is entering grew nearly sixfold in eighteen months. Tokenized real-world assets on public blockchains reached $38.6 billion on October 1, 2026, up from about $6.6 billion in March 2025.3 Institutional forecasts for 2030 start near $2 trillion.5
  • Regulators have moved from enforcement to architecture. In ten months the SEC staff clarified how tokenized securities fit existing law, cleared DTC to pilot tokenization, approved Nasdaq’s tokenized trading rule and issued a five-year Innovation Exemption for on-chain trading venues.7–10
  • Security is becoming the next requirement. A June 2026 executive order set December 31, 2030 as the date federal contractors must meet post-quantum cryptography standards.12 QSTAK’s post-quantum security features are in advanced development and are covered by SecureTech’s license.1
  • SCTH participates two ways. It controls the operating venture that sells tokenization services, and it owns 15% of the company building the underlying technology.
  • Built for the move to a national exchange. SCTH trades on the OTCQB, and its application to list on the Nasdaq Capital Market is under review. The QSTAK venture adds a second consolidated revenue engine and new assets to the balance sheet as that process moves forward.18
  • Shareholders were protected on price. No cash was paid. The license is paid in Series B Preferred that cannot convert into common stock, and about 73% of its stated value is earned only on an Exchange launch or revenue milestones.1

01   What SecureTech Now Holds

The three QSTAK transactions closed together on October 22, 2026 and were reported in a Current Report on Form 8-K filed October 27.1,2 Taken together, they turn Piranha Blockchain, the SecureTech subsidiary formed for Web3 security and digital-asset infrastructure, from a mandate into a business.

Why the terms of the license matter

Four words in the license do most of the work. Perpetual means the rights do not expire. Exclusive means the licensed technology is SecureTech’s to commercialize. Worldwide and all lawful fields of use mean tokenization is the first application, not the boundary. The license also carries forward future improvements QSTAK develops, so the post-quantum work and the Exchange arrive under SecureTech’s rights as they are completed.1

SecureTech then granted QSTAK Market a royalty-free sublicense, and no cash or ongoing royalty is owed to QSTAK for SecureTech’s own use of the technology.1 In plain terms, the venture that earns the revenue does not pay a toll to the developer for the rails it runs on.

MANAGEMENT ON THE HEAD START“We’re not starting from a blank slate. We’re starting with a live blockchain network, block explorer, and wallet, and a team already advancing post-quantum security.”J. Scott Sitra, President and CEO1

02   The Market: From Pilot to Asset Class

Tokenization means recording ownership of a real asset, such as a Treasury bill, a loan, a share of stock or a building, as a digital token on a blockchain. For most of the last decade it was a pilot program. In 2026 it became a market.

Source: RWA.xyz distributed asset value, as reported by PYMNTS (March 2026), Cryptic Web3 (July 2026) and Crypto Briefing (October 2026). Excludes stablecoins.3,4

RWA.xyz counted $38.61 billion of tokenized real-world assets across 39 networks on October 1, 2026. Other trackers that count more broadly put the figure higher, at roughly $46 billion in late September.3 Whichever count an investor prefers, the direction is the same: the market has grown roughly sixfold since early 2025, and the growth is being led by institutional products such as tokenized Treasury funds.

Where the market is headed

FORECAST2030LONGER RANGE
McKinsey (June 2024)~$1.9T base case; up to $4T optimistic—
BCG with Ripple (April 2025)$9.4T$18.9T by 2033

McKinsey excludes stablecoins; BCG/Ripple includes stablecoins and tokenized deposits.5

The forecasts differ in scope, but they point in the same direction. Even McKinsey’s base case implies the market grows about fifty-fold from today’s $38.6 billion by the end of the decade.

Where the room is

Today’s market is led by the most liquid assets. U.S. Treasuries are the largest single category, and established market infrastructure is starting there. The DTC tokenization pilot covers Russell 1000 stocks, Treasuries and major-index ETFs.8

The larger opportunity is still ahead. Tokenized real estate, often cited as the signature use case, stood at about $226 million in September 2026, less than 1% of the tracked market.6 Private credit, private company shares, funds and smaller issuers are at a similarly early stage, with substantial room to grow. That is the territory an independent platform can serve, and it is where QSTAK Market is pointed: its stated first line of business is tokenizing real-world assets, offered in compliance with applicable regulatory requirements.1

03   How Tokenization Is Changing Securities

A tokenized security does not change what an investor owns. It changes how ownership is recorded, moved and used. That distinction is the key to why regulators have warmed to it.

WHAT CHANGESWHY IT MATTERS
SettlementTransfers can settle on-chain around the clock rather than through end-of-day batch processes.
Programmable complianceTransfer restrictions, holder eligibility and lockups can be written into the token itself.
Fractional accessHigh-value assets can be divided into smaller units, widening the investor base.
Collateral mobilityTokenized assets can be pledged and moved quickly, which institutions value most.
A shared recordIssuer, holder and venue work from the same ledger, reducing reconciliation.

What does not change is the law. In January 2026 the staff of three SEC divisions stated that tokenized securities remain securities and that the federal securities laws apply to them as they do to traditional ones.7 The staff also drew a taxonomy that matters to anyone choosing a tokenization partner: securities tokenized by or for the issuer on one side, and third-party models, including synthetic tokens that only track an asset, on the other. That clarity gives issuers a defined path, and it favors platforms built around it.7

The practical result is a market that rewards platforms built for issuer-sponsored, compliant tokenization. Nasdaq’s approved rule shows where the mainstream is heading: tokenized shares that carry the same rights, trade on the same order book and settle on the same cycle as their traditional counterparts.9

04   The Regulatory Turn

Under Chairman Paul Atkins, the SEC has been writing a clear rulebook for digital assets, and tokenization sits at its center.

Dec 11, 2025DTC no-action letterCleared a three-year DTC pilot to tokenize entitlements in eligible securities

Sep 17, 2026Innovation ExemptionFive-year conditional exemption for venues trading tokenized exchange-listed stock on-chain

Sources: SEC; law firm summaries listed in Notes and Sources.7–11

Announcing the Innovation Exemption, Chairman Atkins described the goal as bringing America’s capital markets “into the digital age.”10 The exemption runs through September 2031 and lets qualifying venues trade tokenized exchange-listed stocks on-chain without registering as exchanges, provided access is permissioned and the tokens carry the same rights as the underlying shares.11

What this means for SCTH

The Innovation Exemption is focused on tokenized exchange-listed stock. Its larger significance for SecureTech is the direction it sets. Each step in the sequence above adds clarity for issuers, custodians and investors, and each favors operators that build to the rules.

For QSTAK Market, a clearer rulebook means a clearer product. Issuers deciding whether and how to tokenize now have an official taxonomy to work from, and a platform that commits, as QSTAK Market has, to offering its services in compliance with applicable requirements is positioned on the side of that line the SEC has chosen to encourage.1

05   The Quantum Dimension

Blockchains are secured by digital signatures. Most of them, including Bitcoin and Ethereum, rely on elliptic-curve cryptography that a large enough quantum computer could break, allowing an attacker to forge a signature and move assets without the owner’s consent.13

Most estimates place such a machine after 2030,14 and 2026 brought that horizon closer. In March, a Google Quantum AI paper estimated that the elliptic curve used by Bitcoin could be broken with fewer than 500,000 physical qubits under certain hardware assumptions, a sharp reduction from earlier estimates.13

Why this matters more for tokenized assets

A tokenized Treasury bill may live on-chain for a few months. A tokenized property deed, private loan or share of a private company may need to sit on a ledger for ten, twenty or thirty years. That is longer than most published timelines for a cryptographically relevant quantum computer. An asset record created today has to survive the cryptography of the 2030s.

That is why building security in from the start matters. Researchers note that on established networks the same public keys can hold value for years and signature schemes are built into consensus rules, which makes upgrading them a long, coordinated effort.16 A platform designed with post-quantum security in mind avoids that retrofit.

This is where QSTAK fits. Its developer is building post-quantum security features into the platform itself, those features are in advanced development, and SecureTech’s license covers them as they are completed.1 For QSTAK Market, that answers a question institutional issuers are beginning to ask in due diligence: will the record of my asset still be secure when the rules and the threat catch up? It also aligns Piranha Blockchain with the security mandate in SecureTech’s name.

06   How the Joint Venture Benefits SCTH Shareholders

The deal terms are where the value to shareholders shows up most clearly. Each feature below is drawn from the company’s October 27 disclosures.1,2

FEATUREWHAT IT MEANS FOR SHAREHOLDERS
57% ownership and control of QSTAK MarketSecureTech consolidates QSTAK Market’s results, so its revenue appears in SCTH’s financial statements
Royalty-free sublicenseThe venture’s revenue is not reduced by a royalty to the technology’s developer
Perpetual, exclusive, worldwide license for all lawful usesRoom to extend beyond tokenization, into the Exchange, wallet and security products, without renegotiating
Future improvements includedPost-quantum features and the Exchange come under SecureTech’s rights as they are completed
15% of QSTAK Holding plus a board observer seatA share in value the developer creates, and a window into its roadmap
QSTAK owns 38% of the ventureThe developer is paid most when QSTAK Market succeeds, which aligns its incentives with SCTH’s
Series B Preferred cannot convert to commonThe license consideration does not add to the common share count
About 73% of license value is contingentThe price rises only if the Exchange launches or QSTAK Market hits revenue milestones
No cash paidLiquidity stays with the operating business

Alignment by design

The most important feature of the structure is that every party is paid for the same outcome. QSTAK earns its two largest license tranches, $6.5 million each in Series B Preferred, only when QSTAK Market reaches $7.5 million and then $15.0 million of gross revenue in any twelve-month period.1 It also owns 38% of the venture. SecureTech owns 57% of the venture and 15% of QSTAK. The developer cannot be paid in full unless the business SCTH controls is producing revenue.

The milestones show the scale the parties built the deal around. For reference, SecureTech’s trailing four-quarter revenue through June 30, 2026 was about $12.6 million.17 A QSTAK Market generating $15.0 million a year would, on its own, exceed the company’s entire current revenue base.

What it adds to the balance sheet

SecureTech expects to record the license as an intangible asset tied to the $6.0 million closing tranche, and to carry its 15% interest in QSTAK at its $4.5 million cost. Final amounts will be set under U.S. GAAP.1 Against total stockholders’ equity of $10.8 million at June 30, 2026, those additions are material.17

07   Positioned for a National Exchange

SecureTech has traded on the OTCQB Venture Market since August 1, 2025, and its application to list on the Nasdaq Capital Market is under review.18 Through 2026 the company has been building the infrastructure an exchange-listed company needs.

What the QSTAK venture adds to that case

Exchange reviews look at the substance of a company: the scale and depth of its business, the strength of its balance sheet and the quality of its governance. The QSTAK transactions speak to the first two.

  • A second revenue engine. QSTAK Market’s results will be consolidated into SCTH’s financial statements, adding a new line of business alongside AI UltraProd.1
  • A stronger balance sheet. The license and the 15% QSTAK stake are expected to be recorded as assets, adding to stockholders’ equity, a core measure in exchange listing standards, without spending cash.1
  • An unchanged common share count. Because the Series B Preferred cannot convert, the license adds assets without adding common shares.1

Taken together, the QSTAK transactions add scale and balance-sheet strength while SecureTech’s exchange application is under review.

08   Milestones to Watch

The joint venture’s progress can be tracked through discrete, observable events.

  1. First consolidated revenue from QSTAK Market, which SecureTech anticipates this fiscal quarter.1
  2. A detailed operating announcement on QSTAKCHAIN and QSTAK Market’s planned operations, which the company has said will follow.1
  3. Commercial launch of the QSTAK Exchange, which also earns the second Series B tranche.1
  4. Release of QSTAK’s post-quantum security features.
  5. Q3 2026 Form 10-Q, expected in mid-November, the first periodic filing to describe the transactions.
  6. QSTAK Market reaching $7.5 million, then $15.0 million, in twelve-month gross revenue.1
  7. A decision on SecureTech’s Nasdaq Capital Market listing application, the step from the OTCQB to a national exchange.18

SUMMARYSecureTech has acquired the rights to a live blockchain, placed it inside a venture it controls and owns a stake in the company that builds it, all without spending cash or adding to its common share count. It did this in the year the SEC began writing the rulebook for tokenized securities and Washington set a date for the post-quantum transition.Tokenization is moving from pilot to asset class, and the part of that market least served today is the long tail of private and real assets. A compliance-first platform with a post-quantum roadmap is built for that territory. The milestones in Section 08, starting with first revenue from QSTAK Market, are how shareholders can follow the story from here.

Methodology Note

Market-size figures are drawn from third-party trackers that define and count tokenized assets differently; the chart in Section 02 uses a single tracker, RWA.xyz, as reported by the publications cited. The fifty-fold figure compares McKinsey’s 2030 base case with RWA.xyz’s October 1, 2026 value. The 73% contingent share of license consideration was calculated by The Vanderbilt Report from the stated tranche values ($16.0 million of $22.0 million). Trailing four-quarter revenue is the sum of reported revenue for Q3 2025 through Q2 2026. No discounted cash flow, earnings multiple, rating or price target has been prepared.
